TERMS & CONDITIONS OF THE B2B PROGRAMME

B2B PROGRAMME

  1. This B2B programme is operated by zoar Solutions.
  2. A business-to-business buyer (“B2BBuyer”, “you”, or “your”) may place orders for products marketed for sale by Zoar Solutions (“Products”) on shop.zoar.co.za (“the Website”) at the prevailing prices reflected and in the quantities permitted on the Website. To participate in the B2B programme a B2B Buyer must:
    1. apply to join our B2B Programme; and
    2. provide a valid registered company registration number or VAT number.
  3. If your application is approved by Zoar Solutions, you may participate in the B2B programme and place orders on the Website as a B2B Buyer (“B2B Orders”), subject to these terms and conditions (“B2B T&Cs“).
  4. To place B2B Orders for Products, the B2B Buyer must follow the B2B Order prompts on their Zoar Solutions business user account.
  5. Payment for B2B Orders must be made by the B2B Buyer:
    1. using any payment method available on the Website: or
    2. if you are buying , via electronic bank transfer without any set-off or deduction into ZoarSolution’s nominated bank account.
  6. To earn a rebate on B2B Orders for Products (“B2B Product Rebate”), the B2B Buyer must:
    1. place a B2B Order on the Website in accordance with the criteria stipulated in the table below (“Qualifying Order“): Qualifying monthly spend calculated on Net Merchandise Value *Rebate % EarnedR50 000 – R100 0001.5%R100 001 – R200 0002.0%R200 001 – R300 0002.5%R300 001 – R400 0003.0%R400 001 – R500 0003.5%> R500 0014.0%* Net Merchandise Value means the gross sales price of goods sold to the Buyer via the Website, excluding VAT, delivery fees, and insurance, and less the value of any returns, cancellations, or discounts
  7. B2B Product Rebates are earned and granted on selected Products and Qualifying Orders only.
  8. B2B Product Rebates cannot be earned and granted where Zoar Solutions is prevented by law from doing so in respect of particular products, such as alcohol, tobacco products, pharmaceuticals, infant formula, follow-up formula, infant or follow-up formula for special dietary or medical purposes, feeding bottles, teats and feeding cups with spouts, straws, or teats (collectively, “Prohibited Product(s)”). The purchase value of any Prohibited Product(s) forming part of a Qualifying Order will be excluded from the B2B Order value and rebate calculation.
  9. B2B Product Rebates earned by the B2B Buyer will be granted by Zoar Solutions in the form of a voucher which will be sent via email to the B2B Buyer’s email address associated with the Qualifying Order within 60 days of delivery of the Qualifying Order, to redeem on future purchases on the Website (“Rebate Voucher”).
  10. All Rebate Vouchers must be redeemed within 3 years of it being issued, failing which it will expire. A Rebate Voucher is not transferable, cannot be exchanged for cash, or set-off against monies owed to Zoar Solutions.
  11. To place B2B Orders for Zoar Solutions gift vouchers, the B2B Buyer must:
    1. request a written quotation or tax invoice for the gift vouchers from Zoar Solutions;
    2. pay for the gift vouchers in full after receipt of the written quotation and tax invoice for the gift vouchers from Zoar Solutions, which quotation and invoice will reflect the quantities and prices agreed by Zoar;
    3. send written proof of payment to zOAR by email to admin@shop.zoar.co.za; and
    4. on receipt of proof of payment the gift vouchers will be delivered by Zoar via email to the B2B Buyer’s nominated email address.
  12. The B2B Buyer must report all gift voucher redemption errors or misuse (“Gift Voucher Abuse”) to Zoar Solutions in writing as soon as the B2B Buyer becomes aware of it. Zoar Solutions will investigate the reported incident and, to the extent necessary, provide any relevant information in connection to the Gift Voucher Abuse, to the B2B Buyer.
  13. All B2B Orders are subject to the B2B T&Cs and the terms and conditions published on the Website from time to time (“Website T&Cs”). The Website T&Cs therefore form part of the B2B T&Cs. If there is a conflict between the B2B T&Cs and the Website T&Cs, the B2B T&Cs prevail.
  14. Zoar Solutions reserves the right in its sole discretion to:
    1. approve or reject the B2B Buyer’s application to participate in the B2B programme;
    2. terminate the B2B Buyer’s participation in the B2B programme, temporarily or permanently;
    3. terminate the B2B programme in part or in its entirety;
    4. amend the B2B T&Cs, including the criteria for any associated benefits such as Qualifying Orders and associated rebate percentages, as well as the qualifying gift voucher purchase values and associated discount percentages,
    at any time without notice to the B2B Buyer.
  15. Amendments to the B2B T&Cs will be effective on the date it is published on the Website and will not affect any B2B Orders placed by you prior to the effective date. It is your responsibility to regularly check and remain updated with any amendments to these terms and conditions. Your continued participation in the B2B programme constitutes your acceptance of the amendments.
  16. You may terminate your participation in the B2B Programme at any time, without reason, by sending us an email to admin@shop.zoar.co.za. The termination will be effective 20 business days from the date you instructed us in writing to terminate your participation.
  17. The B2B Buyer must promptly disclose any conflicts of interest to Zoar Solutions. A conflict of interest occurs when the B2B Buyer has competing interests or duties that may affect its participation in the B2B programme. The B2B Buyer agrees to avoid conflicts of interest unless approved by Zoar Solutions in writing. Zoar Solutions may terminate the B2B Buyer’s participation if a conflict of interest poses a material conflict.
  18. Zoar Solutions is not liable for any direct or indirect damages and costs of any nature whatsoever which may arise from your participation in the B2B programme or your use of any benefits granted pursuant to the programme.
